Terms of Service

Version 1.4 · Last updated: 8 October 2026

§ 1 Scope & Provider

These Terms of Service ("Terms") govern the use of the cloud-based SaaS platform "TutorClover" ("Service" or "Platform") and apply to all agreements between

E-Mail: info@tutorclover.com

(hereinafter "Provider")

and the companies or self-employed individuals who register to use the Service (hereinafter "Customer"). "Account" means the Customer's individual organisation account. "Administrator" is the person designated by the Customer with full access to all organisation functions. "Users" are all persons assigned to the account, in particular Administrators and Teachers.

Deviating, conflicting, or supplementary terms of the Customer shall not become part of the contract unless the Provider expressly agrees to their validity in writing.

§ 2 Description of Service

2.1 Core Features

TutorClover is a cloud-based Software-as-a-Service (SaaS) platform for the digital management of tutoring schools and educational institutions. It is provided via a web browser and requires no local installation. The essential core services of the Platform include in particular:

  • ›Student and guardian management (contact details, notes, attendance)
  • ›Teacher management (profile, subjects, hourly rate, working hours)
  • ›Scheduling and documentation of lessons and timetables
  • ›Room management and locations
  • ›Subscription and billing management for student packages
  • ›Audit log and administrative action logging
  • ›Access management with roles for Administrators and Teachers

The AI-powered assistant is an additional feature of the Service, where activated in the subscribed plan. It is subject to the special provisions of § 20 of these Terms.

2.2 Development & Feature Changes

The Provider is entitled to continuously develop, improve, and adapt the features of the Service. Changes to essential core services that adversely affect the Customer will be announced by e-mail with at least 30 days' notice.

Essential core features pursuant to § 2.1 may not be discontinued without justification. Justified reasons include technical necessity, legal requirements, security concerns, or the discontinuation of components that are no longer economically viable.

If changes materially and adversely affect the core service, the Customer has the right to extraordinary termination effective at the date of the change. This right must be exercised in writing within the notice period.

§ 3 B2B Orientation – Exclusion of Consumers

The Service is intended exclusively for businesses, freelancers, self-employed individuals, and other commercially active persons (hereinafter collectively "Entrepreneurs"). Use by consumers within the meaning of applicable consumer protection law is excluded.

By registering, the Customer confirms that they are acting as an Entrepreneur and that their use of the Service is attributable to their commercial or independent professional activity. Consumer protection provisions do not apply.

This B2B limitation applies regardless of the Customer's country of registration. For international Customers, "Entrepreneur" refers to any entity or individual acting in the course of a trade, business, or profession — including equivalent concepts under local law (e.g. "business entity", "merchant", "trader", or "professional").

The Provider is entitled to request appropriate proof of the Customer's Entrepreneur status and to reject registrations or contract conclusions if there are reasonable doubts about whether the Customer qualifies as an Entrepreneur.

§ 4 Registration & Contract Formation

4.1 Registration

Registration is completed by providing an e-mail address and a password, or alternatively via Google OAuth (Sign-in with Google). One Administrator account is created per company or organisation.

Upon completion of registration and acceptance of these Terms, a usage agreement is formed between the Customer and the Provider. The agreement is initially a trial agreement pursuant to § 12 and becomes a paid subscription agreement once a paid plan is activated.

4.2 Account Data & Accuracy

The Customer is obliged to provide truthful, complete, and current information during registration, in particular the organisation name and e-mail address. Any changes must be updated immediately in the account settings or communicated to the Provider.

4.3 Security Obligations

The Customer is responsible for the confidentiality of their login credentials and must take appropriate measures to prevent unauthorised access, in particular by using secure passwords and up-to-date devices and browsers.

Login credentials must not be shared with unauthorised third parties. In the event of suspected unauthorised access or compromise of credentials, the Provider must be notified immediately. The Customer must cooperate reasonably in the investigation of any security incidents.

4.4 Administrator Responsibility

The Customer designates at least one Administrator who is responsible for the proper management of the account, the control of user access, and compliance with these Terms by all Users assigned to the account. The Customer is liable for the conduct of its Users within the scope of contractually permitted use.

4.5 Non-Transferability

The Customer account is non-transferable. Any transfer of access rights to third parties requires the prior written consent of the Provider.

§ 5 Onboarding & Customer Obligations

After registration, the Customer completes a multi-step setup process ("Onboarding"). Onboarding includes in particular:

  • ›Providing the company name
  • ›Setting the number of initial teacher slots
  • ›Selecting country and time zone
  • ›Configuring the user interface (design/language)
  • ›Accepting the Data Processing Agreement (DPA) pursuant to § 6

Access to all platform features is only possible after full completion of onboarding, including acceptance of the DPA.

§ 6 Data Processing Agreement (DPA)

Since the Customer processes personal data of third parties — in particular teachers, students, and guardians — through the Service, and the Provider acts as a data processor within the meaning of Art. 28 GDPR, entering into a Data Processing Agreement (DPA) is a prerequisite for using the Service. For Customers outside the scope of the GDPR, equivalent contractual data protection measures with a comparable level of protection apply; details are set out in the respective agreement text.

The DPA is presented to the Customer during onboarding for digital acceptance. By digitally confirming it, the responsible Administrator bindingly accepts the DPA on behalf of their organisation. The time, user ID, and IP address of acceptance are logged.

The current DPA is accessible at any time via the Platform (Settings › Legal). Administrators may also download a proof of acceptance there at any time.

§ 7 User Roles & Access Rights

7.1 Administrator

The person who creates an organisation account automatically receives the "Administrator" role. Administrators have full access to all functions of the Platform for their organisation, in particular the management of teachers, students, lessons, billing, subscriptions, and legal settings.

7.2 Teacher

Teachers are invited by the Administrator. They have limited access to functions relevant to their activity, in particular timetables and assigned students. Teachers have no access to billing, subscription, or administrative functions.

7.3 Internal Provider Administration Access

The Provider maintains an internal provider administration access for operational purposes. This access is used exclusively on a case-by-case basis and only to the extent necessary for the specific purpose, in particular for:

  • ›Support and error analysis, where the Customer cooperates or requests it
  • ›Technical billing corrections and trial period extensions
  • ›Granting additional complimentary teacher slots (goodwill, partnerships)
  • ›Security measures, abuse prevention, and regulatory orders
  • ›Suspension or archiving of accounts in cases of rule violations

All access through the internal provider administration access is logged. No unprompted or beyond-the-stated-purpose access to customer data takes place. Details are set out in the DPA.

§ 8 Usage Rights & Intellectual Property

8.1 Licence

The Provider grants the Customer a simple, non-exclusive, non-transferable, and non-sublicensable right to use the Platform for the duration of the agreement, exclusively for the Customer's own internal business purposes within the scope of these Terms.

8.2 Restrictions

The Customer is in particular not entitled to:

  • ›Sublease, transfer, or commercialise the Platform or parts thereof to third parties under a white-label or resale model without express written agreement
  • ›Decompile, reverse-engineer, or replicate any software, algorithms, database structures, or other technical components of the Service, except where mandatorily permitted by law
  • ›Request the source code of the Service
  • ›Use the Provider's trademarks, logos, or other marks without prior written consent

8.3 Provider's Proprietary Rights

All rights in the Platform, including software, source code, database structures, documentation, design, trademarks, and other intellectual property rights, remain with the Provider or its licensors. No rights beyond those in § 8.1 are granted to the Customer through use of the Platform.

8.4 Customer Data

All data entered or processed by the Customer in the Platform ("Customer Data") remains the Customer's property. The Provider processes this data exclusively as a data processor pursuant to the DPA and these Terms.

§ 9 Subscription & Term

Following the expiry of the free trial period pursuant to § 12, continued use of the Service requires an active paid subscription. Subscriptions run on a monthly basis and renew automatically for successive monthly periods unless cancelled pursuant to § 14.

Subscriptions are processed via the payment service provider Stripe, Inc. or the Stripe entity responsible for the Customer's jurisdiction (hereinafter collectively "Stripe"). Supported payment methods include credit card and other methods offered by Stripe where selectable in the checkout interface. Payment is made monthly in advance. Billing is made in the currency assigned to the customer account/workspace. This is generally based on the country selected during onboarding, in particular EUR for Germany and Austria, CHF for Switzerland, and USD for the United States and other supported countries. The currency displayed during checkout is decisive.

The paid subscription begins upon completion of the payment process. The billing date corresponds to the date of subscription commencement and repeats monthly. Payments are deemed received when credited to the Provider's account or confirmed as successful by Stripe.

§ 10 Prices & Billing

10.1 Pricing

Billing is based on the selected plan as a monthly flat rate. The Provider currently offers three plans:

  • ›Solo – for solo tutors (1 teacher slot)
  • ›Team – for small organisations (up to 5 teacher slots)
  • ›Unlimited – for larger organisations (unlimited teacher slots)

Current prices are available on the Provider's pricing page (tutorclover.com/pricing) and are displayed during the checkout process before contract conclusion. The price displayed at the time of subscription is binding.

Plan changes are possible at any time (§ 11).

10.2 Taxes

For each subscription, the seller is shown in the checkout before payment and appears on the invoice. The Provider invoices directly only where it has enabled direct invoicing for the country of the billing address; at present this is possible only for billing addresses in Germany. In that case the Provider is the seller and invoice issuer; as a small business it does not charge VAT under Section 19 of the German VAT Act (UStG) and the invoice states this. In all other cases – including a billing address in Germany while direct invoicing is not enabled – Stripe (Link; invoices read "Sold through Link, LLC") is the seller of record, issues the invoice and calculates, collects and remits any applicable sales tax, VAT or GST based on the Customer's location. Existing subscriptions concluded through Stripe/Link remain with Stripe/Link as seller until they end; a change happens only through a new subscription with the Customer's consent. In both cases Stripe processes the payment. The prices displayed at checkout and binding under § 10.1 are final prices; any applicable taxes are already included and do not increase the displayed plan price. Where Stripe is the seller, the tax portion may be shown separately on receipts and invoices.

10.3 Invoicing

Invoices are provided to the Customer in electronic form (PDF) via the Platform or by e-mail to the registered Administrator address. Paper invoices are not issued unless expressly agreed.

10.4 Failed Payments & Chargebacks

If a payment fails (e.g. due to insufficient funds, expired payment details, or technical errors), the Customer must update valid payment information immediately. The Provider is entitled to retry the charge.

In the event of an unjustified chargeback, the Customer is obliged to reimburse the Provider for any resulting damages, including processing fees charged by the payment service provider, to the extent attributable to the Customer.

10.5 Price Adjustments

The Provider reserves the right to adjust prices for objective reasons, in particular due to increased infrastructure or licensing costs, changed market conditions, or significant expansions of the feature set. Notice will be given with at least 30 days' notice by e-mail to the registered Administrator.

Price adjustments do not apply retroactively and take effect from the next full billing period after the notice period expires.

In the event of a price increase, the Customer has the right to extraordinary termination effective at the date the increase takes effect. This right must be exercised in writing within the notice period.

10.6 Promotional Codes

The Provider may issue promotional codes that can be redeemed at checkout. Promotional codes are time-limited, personal or organisation-specific, non-transferable, and may not be combined with other discounts unless otherwise stated. There is no legal entitlement to the issuance or extension of promotional codes.

§ 11 Plan Changes: Upgrades & Downgrades

11.1 Available Plans

The Provider currently offers three subscription plans: Solo, Team, and Unlimited. Each plan defines the included feature set and the maximum number of active teachers permitted. Current plan details are available in the published pricing information on the Provider's website.

11.2 Goodwill Extensions

The Provider may at its sole discretion grant temporary extensions of the feature set or teacher capacity, e.g. within the context of partnerships, goodwill, or support measures. Such extensions do not create any legal entitlement to permanent provision and may be revoked by the Provider with reasonable notice.

11.3 Upgrade to a Higher Plan

The Customer may upgrade to a higher plan at any time via account settings. The change takes effect immediately upon confirmation. Outside of a free trial period, the prorated additional amount and the new monthly total are displayed to the Customer before the change is finalised and are charged by the payment processor according to its proration logic. During an active trial period, no immediate charges are made; the new plan takes paid effect after the trial expires.

11.4 Downgrade to a Lower Plan

A downgrade takes effect at the start of the next billing period. If the number of active teachers at the time of the downgrade taking effect exceeds the capacity of the target plan, the excess teacher accounts are automatically deactivated (suspended). Deactivated teacher accounts are not deleted; access is restored if the Customer subsequently upgrades to a plan with sufficient capacity or reduces the number of active teachers. The Customer is responsible for adjusting the number of active teachers before or after the downgrade.

§ 12 Trial Period

New customers receive a free trial period of 14 days after registration. During the trial, the full feature set of the Service is available, except for features explicitly marked as paid add-ons.

No payment method is required during the trial. Payment details are only collected when a paid subscription is activated.

If the trial expires without a subscription being activated, access to the Service is suspended. All stored data is retained subject to the timelines in § 17 and applicable legal retention obligations. Access is restored upon subscription activation.

The Provider may extend the trial period for individual customers at its sole discretion. There is no legal entitlement to an extension. As part of promotions or partnerships, the Provider may offer a different trial duration (e.g. up to 60 days); the applicable terms will be communicated at registration or activation.

During the trial period, the Provider's liability for ordinary negligence is limited to breaches of essential contractual obligations.

§ 13 Beta & Preview Features

The Provider may grant the Customer access to experimental features marked as "Beta", "Preview", or similar. These features are still in active development and are subject to special conditions:

  • ›Beta features may be limited, prone to errors, temporarily unavailable, or incomplete.
  • ›There is no entitlement to permanent availability, full functionality, or freedom from errors for such features.
  • ›Beta features may be changed, restricted, or discontinued without notice.
  • ›The Provider is only liable for damages arising from the use of beta features in cases of intent or gross negligence.

Participation in beta programmes is voluntary. The Provider recommends not using beta features for business-critical processes while they remain in beta status.

§ 14 Cancellation of Subscription

14.1 Ordinary Cancellation by the Customer

The Customer may cancel their subscription at any time via account settings (Settings › Membership), effective at the end of the current billing period. No prorated refund of amounts already paid is made, unless required by mandatory law.

After a valid cancellation, access remains active until the end of the paid billing period. Thereafter the offboarding process pursuant to § 16 begins.

14.2 Extraordinary Termination by the Provider

The Provider may terminate the agreement with immediate effect for good cause, in particular where:

  • ›The Customer breaches these Terms or applicable law,
  • ›The Customer provided false information during registration,
  • ›The Customer repeatedly fails to meet payment obligations despite reminder, or
  • ›The Customer uses the Platform for prohibited purposes pursuant to § 18.

14.3 Right of Withdrawal

No statutory right of withdrawal exists, as the Service is directed exclusively at Entrepreneurs. Contracts with consumers are not concluded.

§ 15 Non-Payment & Access Restriction

If a payment fails or a due payment is not made, the Provider notifies the Customer by e-mail and grants a grace period of 7 calendar days to settle the outstanding amount.

After the grace period expires without payment, the Provider may restrict or suspend access in whole or in part, in particular:

  • ›Access restriction (Restricted Mode) until full payment is received,
  • ›Suspension of expansion or administrative functions,
  • ›Full access deactivation following a further warning.

Repeated failed payments may result in extraordinary termination pursuant to § 14.2. Further legal rights of the Provider remain unaffected.

§ 16 Data Export, Offboarding & Account Lifecycle

16.1 Data Export During the Contract Term

The Customer may independently download their Customer Data at any time via the export functions available in the Platform (self-service export). There is no entitlement to additional data migration or export support by the Provider, unless separately agreed and compensated.

16.2 Account Lifecycle After Contract End

After termination of the agreement (by cancellation, expiry, or otherwise), the following lifecycle applies:

  • ›End of paid billing period: Full access until the last paid day.
  • ›Suspension phase (max. 30 days): Account is deactivated; read access or self-service export may be granted on request.
  • ›Deletion phase: After the suspension phase, Customer Data is deleted or anonymised pursuant to § 17.
  • ›Backup expiry: Data in backups is overwritten within the regular backup cycles (max. 30 days).

16.3 Billing Data & Statutory Retention

Billing and invoice data is subject to statutory retention obligations (up to 10 years) and is retained for this period even after deletion of the Customer account. It is not used productively and is stored solely for evidential purposes.

§ 17 Account Suspension, Archiving & Deletion

17.1 Suspension

The Provider may temporarily suspend a Customer account in the event of breaches of these Terms, reasonable suspicion of abusive use, or by order of competent authorities. In the event of a suspension, the Customer is notified by e-mail, unless legal or security reasons prevent this.

17.2 Archiving

An archived account is no longer accessible to the Customer. Associated Customer Data is retained for a period of up to 30 days after archiving, unless statutory retention obligations require otherwise. After this period, the data is deleted or anonymised.

17.3 Deletion at Customer Request

The Customer may initiate account deletion in the account settings. Permanent deletion of the organisation account is only possible after any active subscription has ended and the paid billing period has expired. If an active subscription exists at the time of the deletion request, final deletion is deferred until the end of the current billing period; the subscription is treated as cancelled at the end of that billing period. Upon account deletion the following additionally applies:

  • ›All organisation data is deleted or anonymised after the suspension phase pursuant to § 16.2.
  • ›The Administrator account and all linked user accounts are deactivated.
  • ›Statutory retention obligations (in particular billing data pursuant to § 16.3) remain unaffected.

Recovery of productive data after deletion is generally not possible.

§ 18 Acceptable Use – Prohibited Actions

The Platform may only be used for lawful and contractual purposes. The Customer is in particular obliged to ensure that use does not violate data protection, employment, school, or other applicable law. The following are expressly prohibited:

  • ›Sharing login credentials with third parties outside the Customer's own organisation
  • ›Automated scraping, crawling, or API abuse of the Platform
  • ›Reverse engineering, decompiling, or manipulating the Platform, except where mandatorily permitted by law
  • ›Entering unlawful, discriminatory, criminally relevant, or otherwise illegal content or data, including in AI features
  • ›Entering sensitive personal data of third parties into AI features without an appropriate legal basis
  • ›Processing personal data in violation of GDPR or other applicable data protection law
  • ›Using the Platform for the purpose of competitive abuse, reverse engineering, or developing competing products
  • ›Technical overloading of server infrastructure (DDoS, flooding, excessive requests)
  • ›Attempting to gain unauthorised access to other customer accounts or system infrastructure

In the event of violations, the Provider is entitled to immediately suspend the account and terminate the agreement with extraordinary effect. Any claims for damages by the Provider remain unaffected.

§ 19 Responsibility for Processed Data

The Customer is the data controller within the meaning of GDPR for the personal data of their teachers, students, and guardians processed via the Platform.

The Customer is obliged to ensure that the processing of this data via TutorClover is based on a valid legal basis and that all data subjects have been appropriately informed. The Provider accepts no responsibility for the lawfulness of the data entered by the Customer.

The Provider processes personal data of the Customer exclusively as a data processor pursuant to the DPA concluded between the parties.

§ 19a Student Data & Protection of Minors

19a.1 Student Data

The Customer acknowledges that the Platform is designed to manage data relating to students, who may include minors. The Customer, as data controller, is solely responsible for ensuring that the collection, processing, and storage of student personal data complies with all applicable laws, including those protecting minors (e.g. GDPR, applicable national school privacy regulations, or equivalent laws in the Customer's jurisdiction).

19a.2 Guardian Consent

Where the applicable law requires parental or guardian consent for the processing of a minor's personal data, the Customer is responsible for obtaining and documenting such consent before entering the minor's data into the Platform. The Provider does not independently verify the age of individuals whose data is entered by the Customer.

19a.3 AI Features & Student Data

The Customer must not enter identifiable personal data of students — in particular of minors — into the AI-powered assistant (§ 20) unless a valid legal basis and appropriate data processing safeguards are in place. Pseudonymised or anonymised data should be used wherever possible when engaging AI features.

19a.4 No Direct Marketing to Minors

Student data stored in the Platform may not be used by the Customer for direct marketing, profiling, or other purposes unrelated to the educational management services for which the data was collected. The Provider does not use student data for advertising or commercial profiling.

§ 20 AI-Powered Assistant

20.1 Availability & Activation

The AI-powered assistant is an optional additional feature of the Platform, only available where included in or unlocked by the subscribed plan. There is no separate entitlement to the provision or permanent availability of the AI assistant.

20.2 Quality & Liability for AI Output

AI-generated outputs are based on statistical language models and may be inaccurate, incomplete, outdated, or unsuitable for the specific use case. The Provider provides no warranty for the accuracy, currency, or legal suitability of AI outputs. AI outputs are generated automatically and do not represent the opinion or advice of the Provider.

The Customer is obliged to independently review all AI-generated results before use. The AI is in particular not a substitute for legal, tax, HR, educational, or other professional advice. The Provider is not liable for damages arising from uncritical reliance on AI outputs, except to the extent this conflicts with the liability limitations of § 23.

20.3 Use of External AI Services

To provide the AI assistant, the Provider may engage external AI service providers (e.g. OpenAI or equivalent providers). These providers are engaged as data processors under appropriate contractual safeguards. Details are set out in the Privacy Policy and the DPA. The Provider will notify Customers of any material changes to AI sub-processors in accordance with § 28.

20.4 Prohibited Inputs

The Customer is not permitted to use the AI assistant to:

  • ›Enter special categories of personal data under Art. 9 GDPR or equivalent sensitive data categories under applicable law (e.g. health data, biometric data) unless an appropriate legal basis and DPA with the AI provider exist,
  • ›Enter identifiable personal data of minors without appropriate safeguards (see § 19a.3),
  • ›Generate or enter criminally relevant, discriminatory, or otherwise unlawful content, or
  • ›Circumvent system limits or make security-relevant requests (jailbreaking).

20.5 Transparency

Where required by applicable law (including the EU AI Act or equivalent regulations), the Provider will make available information about the AI systems used, including their intended purpose, known limitations, and the degree of human oversight applied. Customers are encouraged to inform their end users (teachers, guardians) about AI-generated content where relevant.

§ 21 Third-Party Providers & Infrastructure

The Provider is entitled to engage specialised third-party providers and sub-processors to deliver the Service, in particular for:

  • ›Hosting and cloud infrastructure
  • ›Payment processing (in particular Stripe)
  • ›Authentication and Single Sign-On (in particular Google OAuth)
  • ›E-mail communication and notifications
  • ›AI features and language models
  • ›Data backup and monitoring

The Provider is entitled to change third-party providers for objective reasons, provided the essential core service is not permanently and adversely affected. Where third-party providers act as data processors, they are engaged pursuant to Art. 28 GDPR and the DPA.

Outages or restrictions caused by technical failures, security incidents, or force majeure at third-party providers are not attributable to the Provider as a culpable breach of duty, provided the Provider was not responsible for the disruption and took reasonable mitigation measures or none were available.

§ 22 Availability & Maintenance

22.1 Availability Target

The Provider aims for high availability of the Platform. However, no contractually guaranteed minimum availability is owed unless expressly agreed individually. Temporary restrictions due to technical, security-related, or operational reasons are possible and do not entitle the Customer to reduce payment or terminate, provided they remain reasonable in time and scope.

22.2 Planned Maintenance

Planned maintenance, updates, and security measures will, where possible and reasonable, be announced at least 24 hours in advance and carried out outside normal business hours (Monday–Friday, 09:00–18:00 CET). Short, technically unavoidable interruptions are reserved.

22.3 Unplanned Outages

Unplanned outages, in particular due to technical failures, force majeure, or third-party provider failures (§ 21), cannot be entirely excluded. The Provider will endeavour to resolve such outages as quickly as possible. Liability for unplanned outages is governed by § 23.

§ 23 Limitation of Liability & Warranty

23.1 General Liability

The Provider is liable without limitation for intent and gross negligence, and for damages resulting from injury to life, body, or health.

23.2 Ordinary Negligence

In cases of ordinary negligence, the Provider is only liable for breach of an essential contractual obligation (cardinal obligation), the fulfilment of which is necessary for the proper performance of the contract and on which the Customer may regularly rely. In such cases, liability is limited in amount to typical, foreseeable damage at the time of contract conclusion.

23.3 Exclusion of Indirect Damages

To the extent permitted by law, indirect damages, consequential damages, and lost profits are excluded from liability, unless caused by intent or gross negligence.

23.4 Data Loss

The Provider's liability for data loss is limited to the effort that would have been required to restore the data if the Customer had maintained proper backups. This limitation does not apply where the data loss was caused by the Provider's intent or gross negligence.

23.5 Mandatory Law

Liability under mandatory statutory provisions, in particular the Product Liability Act and the GDPR, remains unaffected.

23.6 Warranty & Defect Notification

Statutory warranty provisions apply, subject to the Provider being entitled to remedy defects in the Service as a first step.

The Customer must notify defects immediately in writing, including: a description of the defect, the time and frequency of occurrence, affected features, and reproduction steps where possible. The Customer must cooperate reasonably in defect analysis.

No defect exists where the malfunction is attributable to misuse by the Customer, incompatible system environments, third-party network failures, or the use of beta features pursuant to § 13. Temporary workarounds will be provided by the Provider where possible, without prejudice to the obligation to provide a permanent fix.

§ 24 Customer Feedback & Improvement Suggestions

Feedback, improvement suggestions, feature ideas, and other input submitted by the Customer to the Provider ("Feedback") may be used by the Provider free of charge to further develop the Service, without any entitlement to compensation arising for the Customer.

The Provider will not violate the Customer's rights when using Feedback. In particular, no Feedback will be used that contains the Customer's trade secrets or other confidential information marked as such, unless the Customer expressly consents.

The submission of Feedback does not create any entitlement to its implementation.

§ 25 Data Protection

The processing of personal data of the Customer and its Users by the Provider is carried out in accordance with the Privacy Policy and the Data Processing Agreement (DPA, § 6) to be concluded. The Provider processes personal data only to the extent necessary for the provision of the Service or as required by law.

§ 26 Confidentiality

Both parties undertake to treat all confidential information of the other party that becomes known in connection with the contractual relationship as strictly confidential, to use it solely for the performance of this agreement, and to make it accessible only to employees and representatives who require it on a need-to-know basis for contract performance.

Confidential information includes in particular non-publicly known business, technical, organisational, and commercial information, customer data, and trade secrets.

Confidentiality obligations do not apply to information that:

  • a)was already lawfully known to the receiving party at the time of disclosure,
  • b)is or becomes publicly known without breach of this agreement,
  • c)was lawfully disclosed to the receiving party by an authorised third party, or
  • d)must be disclosed pursuant to statutory provisions or regulatory/court order (in which case the disclosing party shall, to the extent legally permissible, notify the other party in advance).

The receiving party shall implement appropriate technical and organisational measures to protect confidential information from unauthorised access, loss, or misuse.

Upon termination of the agreement, confidential information shall, at the request of the disclosing party, be returned or demonstrably deleted, unless statutory retention obligations require otherwise.

The confidentiality obligation continues for a period of 3 years after termination of the agreement; for trade secrets and personal data it continues for as long as the need for protection persists.

§ 27 Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules.

If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is Dortmund, Germany. The Provider reserves the right to also bring action against the Customer at the Customer's general place of jurisdiction.

§ 28 Amendments to These Terms

The Provider is entitled to amend these Terms with future effect where amendments are necessary for objective reasons. Objective reasons include in particular changes in law, decisions of higher courts, technical developments of the Service, changed market conditions, or the closing of regulatory gaps. Amendments must not unreasonably disadvantage the Customer or materially shift the core services to the Customer's detriment.

Amendments are communicated to the Customer at least 30 days before their planned effective date by e-mail to the registered Administrator address. The notification includes a reference to the right to object and the consequences of not objecting, as well as a comparison of the main changes where reasonable.

If the Customer does not object to an amendment in writing within the notice period, this constitutes acceptance of non-material amendments. The Provider will expressly draw attention to this consequence of silence, the right to object, and the right to terminate in the amendment notification.

Amendments to the essential core services pursuant to § 2.1, or amendments that unreasonably disadvantage the Customer, require the Customer's express consent. If the Customer does not consent to such material amendments, the Customer has the right to extraordinary termination effective at the date the amendment takes effect.

If the Customer timely objects to any other amendment, the agreement continues on the existing terms; the Provider is then entitled to ordinarily terminate the agreement at the earliest possible date. Individually agreed services are not affected by this provision.

§ 30 Severability

Should any provision of these Terms be wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by the applicable statutory rule.
